User Service Agreement

Welcome to use XUNLU AI platform services!
"XUNLU AI" is a cross-border B2B digital SaaS service platform with global vision, providing B2B website building, product management, accurate marketing, store operation, customer management and other platform services for foreign trade factories and enterprises with SaaS tools. You can use XUNLU AI platform to easily manage your account and other services provided by XUNLU AI platform. In light of this, XUNLU AI Platform service provider (or "we") have created this User Service Agreement ("Service Agreement" or "Agreement"). We remind you that by accessing or using the XUNLU AI Platform, you agree to this Service Agreement.
I. Account Terms
1. After successful registration, we will give each user a user account and corresponding password, which will be kept by the user; the user shall be legally responsible for all activities and events conducted with his or her user account.
2. The Service will be provided in the following modes:
(1) if you choose to use XUNLU AI's secondary domain name, you will have a XUNLU AI online store, or;
(2) If you choose to create your own domain name, you will have an independent e-commerce website.
Whichever of the above models you choose, you will get a "store" and become a member of the XUNLU AI platform.
3. XUNLU AI reserves the right to require a deposit from the Member to ensure that the Member complies with its obligations under this Agreement, in particular the obligation to deliver items ordered by a third party or that the items delivered shall conform to the terms and descriptions set forth in its contract with such third party.
4. Our Services will have the following core features:
(1) Create your own branded flagship store: allows each member to create a branded flagship store for your business and decorate your branded flagship store using the templates and materials provided on the website.
(2) Products: Allows each member to display and edit the descriptions, specifications and images of their products.
(3) Online Transactions: Provide an online platform that allows each member to accept, complete, manage and fulfill orders (to sell their products).
II. User Code of Conduct
5. Users shall bear full responsibility for the authenticity, legality and validity of the registered information in the XUNLU AI platform. Users shall not impersonate others; shall not use the name of others to publish any information; shall not maliciously use the registered account leading to misidentification by other users; the name of the Internet user account registered and used by any institution or individual shall not have the following circumstances:
(1) violate the Constitution or the provisions of laws and regulations
(2) endangering national security, leaking state secrets, subverting state power, and undermining national unity
(3) Damage to national honor and interests, damage to the public interest
(4) inciting ethnic hatred, ethnic discrimination, and undermining national unity
(5) undermining national religious policy, promoting evil cults and feudal superstition
(6) spreading rumors, disturbing social order and destabilizing society
(7) spreading obscenity, pornography, gambling, violence, murder, terror or abetting crime
(8) Insulting or slandering others and infringing on their legitimate rights and interests
(9) Containing other contents prohibited by laws and administrative regulations.
6. About the management of user names
(1) Please do not register and use nicknames with the real names, characters, numbers, stage names, pseudonyms, titles, etc. of party and state leaders or other celebrities (if they are indeed you, you need to submit relevant evidence and pass the audit before you are allowed to use them);
(2) Please do not register and use nicknames with the names of national organizations or other organizations, etc. (if it is indeed the organization, you need to submit relevant evidence and pass the audit before you are allowed to use it);
(3) Please do not register and use names or nicknames that are identical or similar to those of other Internet users;
(4) Please do not register and use uncivilized and unhealthy IDs and nicknames;
(5) Please do not register and use IDs and nicknames that are likely to generate ambiguity, cause misunderstanding by others or have various odd symbols.
(6) XUNLU AI platform will suspend or cancel users who fraudulently register their account name with false information, or whose account avatar, profile and other registration information contains illegal and bad information.
7. The XUNLU AI platform is a platform for information sharing and dissemination. The information published by the user through the XUNLU AI platform is public information, and other third parties can obtain the information published by the user through the XUNLU AI platform, and the user's publication of any information is recognized as public information, and he/she is solely responsible for this behavior; any information that the user does not want to be known by other third parties should not be published on the XUNLU AI platform. 8.
8. The user promises not to use the XUNLU AI platform in any way to directly or indirectly engage in acts that violate Chinese law and social morality, and the XUNLU AI platform has the right to delete any content that violates the above promises.
9. XUNLU AI platform users shall not use the XUNLU AI platform services to produce, upload, copy, publish, disseminate or reproduce the following contents:
(1) that oppose the basic principles established by the Constitution
(2) endangering national security, leaking state secrets, subverting state power, or undermining national unity
(3) Damaging national honor and interests
(4) inciting ethnic hatred, ethnic discrimination, and undermining national unity
(5) undermining state religious policy, promoting evil cults and feudal superstitions
(6) spreading rumors, disturbing social order and destabilizing society
(7) spreading obscenity, pornography, gambling, violence, murder, terror or abetting crime
(8) Insulting or slandering others and infringing on their legitimate rights and interests
(9) Information containing other contents prohibited by laws and administrative regulations.
10. The XUNLU AI platform has the right to review and supervise the user's use of the XUNLU AI platform, and if the user violates any of the above provisions while using the XUNLU AI platform, the XUNLU AI platform or its authorized person has the right to require the user to correct or directly take all necessary measures (including but not limited to changing or deleting the user's posted content, suspending or terminate the user's right to use the XUNLU AI Platform) to mitigate the effects of the user's misconduct.
III. Transaction Rules
11. through the website, XUNLU AI provides a web-based electronic platform for exchanging information and completing transactions for the sale and purchase of products and services between buyers and members online. Although the platform is provided through the Site, XUNLU AI does not represent members (sellers) or buyers in particular transactions, whether or not such transactions are conducted on or through the Site, and XUNLU AI does not guarantee or assume any responsibility for the quality, safety, legality or availability of products or services sold on the Site, or the ability of members to complete sales or buyers to complete purchases.
12. Your communication with other users on the Platform may be risky. XUNLU AI uses a variety of technologies to verify the accuracy of the information users provide to us when they register on the Site. However, due to the difficulty of verifying users on the Internet, XUNLU AI is unable to confirm the identity of each member as it appears on the Site.
13. Each member accessing or using the Site Services shall bear the risk of purchase and sales transactions made through the Site Services. Such risks include, but are not limited to, misrepresentation of products and services, fraud, substandard quality, nonconformity to specifications, product defects, delayed or defaulted delivery or payment, breach of warranty, breach of contract and shipping accidents ("Transaction Risks"). Each Member agrees that XUNLU AI shall not be liable for any loss arising out of or in connection with any Transaction Risk.
14. Members are solely responsible for establishing, entering into and enforcing all terms and conditions of transactions conducted through the Site, including but not limited to terms regarding payment, returns, warranties, shipping, insurance, fees, taxes, ownership, licenses, permissions, shipping and storage, subject to other obligations agreed to under this Agreement.
15. The Member agrees to provide all information and materials reasonably requested by XUNLU AI for use in transactions conducted through the trading platform. If a member fails to provide the required information and materials, XUNLU AI reserves the right to suspend or terminate any member's account without liability for any loss or damage arising from or related to such suspension or termination.
16. If any member has a dispute with any party to a transaction, such member agrees to release and indemnify XUNLU AI (and our agents, affiliates, directors, officers and employees) from and against all claims, demands, actions, costs and damages arising out of or in connection with such dispute or transaction.
If a member temporarily closes its store by removing all products from the product list or its member account (collectively, "Store Closure"), the member shall continue to be responsible for transactions such as deliveries, returns and exchanges, quality assurance and maintenance, and transactions completed prior to Store Closure.
Ownership and Intellectual Property Rights
18. XUNLU AI is the owner of the intellectual property rights of the Platform. All copyrights, trademarks, patents, trade secrets and other intellectual property rights of the Platform, as well as all information content related to the Platform (including but not limited to text, pictures, audio, video, graphics, interface design, layout frames, relevant data or electronic documents, etc.) are protected by the laws and regulations of the People's Republic of China and the corresponding international treaties, and XUNLU AI enjoys the above intellectual property rights, but XUNLU AI enjoys the above-mentioned intellectual property rights, except for the rights that the relevant right holders shall enjoy in accordance with the law.
19. You should ensure that the content of all kinds of information published on the XUNLU AI platform website does not involve infringement of the portrait, privacy, intellectual property rights or other legal rights of third parties. Otherwise, XUNLU AI platform has the right to take measures at any time, including but not limited to deletion and disconnection of links.
20. All the contents uploaded and published by you in the process of using the platform and the service will not transfer the intellectual property rights because of the act of uploading and publishing. At the same time, you understand and agree that XUNLU AI may use the specific public and non-confidential content posted by you to achieve the purpose of the product within the scope permitted by law, including but not limited to storing it, displaying it to the relevant users, making it available to the relevant users and reusing it, etc.
21. Except as otherwise mandatorily provided by law, no unit or individual may illegally copy, reproduce, quote, link, capture or otherwise use the information content of this website in whole or in part in any way without the express written consent of the XUNLU AI platform, otherwise, the XUNLU AI platform has the right to pursue its legal responsibility.
V. Duty of confidentiality
22. Duty of confidentiality. You shall keep confidential all confidential information provided by any buyer or XUNLU AI or any of its affiliates in connection with any online transaction or service.
23. Confidential Information. All information and materials provided by any Buyer or XUNLU AI or any of its affiliates will be considered confidential information unless such information or materials are already in the public domain.
24. Member's Data Protection Obligations. Members shall process Buyer's personal information solely for the purpose of completing online transactions. Members acknowledge that they shall comply with statutory data protection and privacy protection obligations with respect to personal information of buyers or other individuals processed by Members.
VI. Liability for breach of contract
25. If XUNLU AI platform finds or receives complaints from others about your violation of this agreement or any malicious behavior, XUNLU AI platform has the right to delete or block the relevant content at any time without notice and impose penalties on the offending account depending on the circumstances of the behavior, including but not limited to warning, restricting or prohibiting the use of some or all functions, account banning, cancellation, etc., and announce the results will be announced.
26、XUNLU AI platform has the right to take appropriate legal action based on reasonable judgment for violations of relevant laws and regulations or the provisions of this Agreement, and save relevant information to report to the relevant departments in accordance with laws and regulations, etc. You shall solely assume all legal responsibilities arising therefrom.
27. You understand and agree that you shall be independently responsible for any claims, demands or losses claimed by third parties as a result of your violation of the provisions of this Agreement or the relevant Terms of Service; if the XUNLU AI platform suffers losses as a result, you shall be compensated together.
VII. Application of Legal Jurisdiction and Others
28. The conclusion, execution and interpretation of this Agreement and the settlement of disputes shall be governed by the laws of China. If any dispute arises between the parties regarding the content of this Agreement or its implementation, the parties shall endeavor to resolve it through friendly negotiation; if negotiation fails, litigation shall be filed with the people's court with jurisdiction in the place where the Agreement is signed. This Agreement is entered into in Haidian District, Beijing, People's Republic of China.
29. If any provision of this Agreement is deemed abrogated, invalid or for any reason unenforceable, such provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions.
VIII. Disclaimer
30. The content published by the user on the XUNLU AI platform indicates only his personal position and opinion and does not represent the position or opinion of the XUNLU AI platform. The content publisher is responsible for the content published, and all disputes arising from the content published will be borne by the publisher of the content, and the XUNLU AI platform will not bear any legal and joint liability.
31. The XUNLU AI platform does not guarantee that the network service will meet the user's requirements, nor does it guarantee that the network service will not be interrupted, nor does it guarantee the timeliness, safety and accuracy of the network service.
32. The XUNLU AI platform will not be responsible for any interruptions or other defects in the network services caused by force majeure or reasons beyond the control of the XUNLU AI platform, but will try to reduce the losses and impacts caused to the users as a result.
IX. Modification of the Agreement
33. According to the development of the Internet and changes in relevant laws, regulations and normative documents, or due to business development needs, XUNLU AI platform has the right to make modifications or changes to the terms of this agreement, once the content of this agreement has changed, XUNLU AI platform will directly publish the modified agreement content on the XUNLU AI platform website, and the publication act is regarded as The XUNLU AI Platform may also use e-mail or private message transmission to notify users of modifications to the terms and conditions of the Agreement, changes in service, or other important matters.
If you do not agree with the modifications made by the XUNLU AI Platform to the terms and conditions of this Agreement, you have the right and should stop using the XUNLU AI Platform. If you continue to use the XUNLU AI Platform, you will be deemed to have accepted the modifications made by the XUNLU AI Platform to the terms and conditions of this Agreement.
